By using the Services, you accept these Terms. If you do not agree, do not use the Services.
1. About Us and These Terms
Haleego ("we", "us", "our") provides ordering systems, POS solutions, equipment sales, recruitment listings, and related services through haleego.com and associated pages (the "Services").
The Services are intended for business users in the United States and are not directed at individual consumers or users outside the United States.
These Terms form a legally binding agreement between you and us. We may update them from time to time; the effective date above will change, and we will provide additional notice of material changes. Continued use constitutes acceptance.
2. Eligibility
To use the Services, you must be at least 18 years old and able to form a binding contract; if acting for a business, you must be authorised to bind that business; and you must comply with all applicable laws.
3. Registration Information
Some features require contact or registration information. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for activity conducted through your contact details or credentials.
4. Equipment and Product Sales
4.1 Orders and pricing
Product information and pricing may change. An order is accepted only when we confirm and ship it. We may cancel orders and issue a full refund where a pricing or description error is evident.
4.2 Payment
Payments are processed by third-party payment providers. You represent that you are authorised to use the payment method provided. We do not store complete payment card details.
4.3 Delivery and risk of loss
Delivery times are estimates, not commitments. Risk of loss passes to you upon delivery to the carrier unless otherwise agreed in writing.
4.4 Returns and refunds
- Unused items in original packaging may be returned within 30 days of receipt
- Returns require prior authorisation; unauthorised returns may be refused
- Shipping costs both ways are your responsibility unless the item is defective or we shipped the wrong item
- Custom, special-order, or installed items may not be returnable
- Refunds are issued to the original payment method; timing depends on your issuer
4.5 Warranty
Hardware is covered by the manufacturer's warranty. We will assist you in pursuing warranty claims, but we provide no additional warranty beyond the manufacturer's.
5. Software and Subscription Services
5.1 Licence
We grant you a limited, non-exclusive, non-transferable, non-sublicensable right to use our software and services for your business operations during your subscription term.
5.2 Restrictions
You may not reverse engineer, decompile, or attempt to derive source code; resell, rent, or provide the Services to third parties; circumvent technical protections; or use the Services in a way that impairs their stability.
5.3 Availability
We aim to keep the Services available but do not warrant uninterrupted or error-free operation. We may suspend the Services for maintenance, upgrades, security incidents, or events beyond our control. Except under a separate written service level agreement, we are not liable for interruptions.
5.4 Your business data
Business data you generate through the Services belongs to you. We process it only to provide the Services, maintain security, and meet legal requirements. Following termination, we will provide a reasonable opportunity to export data, after which it may be deleted.
6. Recruitment Listings
6.1 Our role
The recruitment section is a listings platform. Listings and related content are supplied by those who post them.
We are not an employer, an employment agency, or a party to any employment relationship. We take no part in hiring decisions, compensation, working conditions, or labour relations.
6.2 We do not screen listings
We do not pre-screen listings and do not verify their truth, accuracy, legality, or currency — including whether a business exists, whether a position is real, whether stated wages are accurate, whether conditions match the description, or whether the poster is authorised to hire.
You must verify independently. Any loss arising from reliance on a listing is your own.
6.3 Poster obligations
If you post a listing, you represent and warrant that:
- You are authorised to post it and its contents are truthful and accurate
- It contains no discriminatory employment terms — including limitations or preferences based on race, colour, religion, sex, sexual orientation, national origin, age, disability, marital or family status, or any other legally protected characteristic
- It complies with all applicable federal and state labour, wage and hour, and advertising laws
- It does not infringe third-party rights
You bear full responsibility for what you post.
6.4 Our discretion
We may refuse, edit, or remove any content, or suspend or terminate any user's access, without prior notice and without stating a reason. Exercising or declining to exercise this right does not create any obligation to screen content or imply endorsement of its legality.
7. User Content
You are responsible for content you submit, post, or transmit ("User Content").
You grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, display, distribute, and modify your User Content for the purpose of operating, displaying, promoting, and improving the Services. This licence ends within a reasonable period after you delete the content, though cached, backup, or third-party-retained copies may persist.
You warrant that you have the right to grant this licence and that your User Content does not infringe others' rights or violate law.
8. Prohibited Conduct
You may not:
- Violate any applicable law
- Post false, misleading, or fraudulent information
- Harass, threaten, defame, stalk, or otherwise harm any person
- Post obscene, violent, hateful, or otherwise inappropriate content
- Access systems, accounts, or data without authorisation
- Use automated means to scrape, submit in bulk, or otherwise place an unreasonable load on the Services
- Distribute malware or interfere with the operation of the Services
- Impersonate any person or misrepresent your affiliation
- Use the Services for commercial solicitation without the recipient's consent
We may immediately terminate access for violations, preserve related records, and report to law enforcement or pursue legal action where appropriate.
9. Intellectual Property
The Services and their content (including software, interfaces, text, graphics, and marks, excluding User Content) are owned by us or our licensors and protected by intellectual property law.
These Terms transfer no intellectual property rights to you. You may not copy, modify, distribute, or create derivative works without our written permission.
10. Third-Party Services
The Services may integrate or link to third-party services (such as payment processing, communications, and artificial intelligence services). Those services are provided by the relevant third parties, governed by their own terms, and we are not responsible for them.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR VIRUS-FREE, OR THAT ANY INFORMATION IN THE SERVICES — INCLUDING THIRD-PARTY RECRUITMENT LISTINGS — IS ACCURATE, COMPLETE, OR RELIABLE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE RELEVANT SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) $100 USD.
Some states do not allow certain exclusions or limitations; in those states, the above applies to the fullest extent permitted.
13. Indemnification
You agree to defend, indemnify, and hold harmless us and our affiliates, employees, and agents from claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: your breach of these Terms; your User Content; your violation of law or third-party rights; or your use of the Services.
14. Dispute Resolution — Arbitration and Class Action Waiver
PLEASE READ CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT AND TO A JURY TRIAL.
14.1 Informal resolution first
The parties will attempt in good faith to resolve any dispute through written notice and negotiation. Arbitration may be initiated only after 30 days have passed without resolution.
14.2 Agreement to arbitrate
Except as provided below, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Miami-Dade County, Florida.
14.3 Class action waiver
THE PARTIES AGREE TO BRING CLAIMS ONLY IN THEIR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF CLASS PROCEEDING. If this provision is found unenforceable, then all of Section 14 is void and disputes will be resolved in court.
14.4 Exceptions
Arbitration does not apply to: claims within the jurisdiction of small claims court; or actions seeking injunctive relief to stop infringement of intellectual property, unauthorised access, or harassment.
14.5 Governing law
These Terms are governed by the laws of Florida, without regard to conflict of laws principles. Disputes not subject to arbitration are subject to the exclusive jurisdiction of the courts located in Miami-Dade County, Florida, and the parties consent to that jurisdiction.
15. Term and Termination
You may stop using the Services at any time.
We may suspend or terminate your access, without prior notice, for breach of these Terms or for reasonable security, legal, or operational reasons.
Sections 7 (User Content licence), 9 (Intellectual Property), 11–14 (Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution), and any provision that by its nature should survive, will survive termination.
16. General
- Entire agreement — These Terms and the Privacy Policy are the entire agreement
- Severability — If a provision is invalid, the rest remains effective
- No waiver — Failure to enforce a right is not a waiver of it
- Assignment — You may not assign without our written consent; we may assign freely
- Force majeure — We are not liable for delays or failures beyond our reasonable control
- Notices — We may notify you using the contact details you provide or by posting in the Services
